Item 8.01. Other Events.

 

On December 28, 2018, The Medicines Company (the “Company”) completed the sale of an additional $13.0 million in aggregate principal amount of its 3.50% convertible senior notes due 2024 (the “notes”) in respect of the Company’s previously announced private offering of notes to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, pursuant to a partial exercise of the initial purchaser’s option to purchase additional notes to cover over-allotments. The additional notes have the same terms in all respects as the $150.0 million in aggregate principal amount of notes completed by the Company on December 18, 2018. The Company has issued a total of $163.0 million aggregate principal amount of notes pursuant to the offering (inclusive of the partial exercise of the over-allotment option).

 

The net proceeds from the sale of the additional notes were approximately $12.6 million, after deducting the initial purchaser’s discount and estimated fees and expenses. The Company expects to use the net proceeds from the sale of the additional notes to fund the Company’s development of inclisiran and for general corporate purposes.
