Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 28, 2018, Kathleen Wilson-Thompson, a member of the Board of Directors (the “Board”) of Vulcan Materials Company (the “Company”), informed the Company that she is resigning from the Board, effective immediately, due to other commitments. Ms. Wilson-Thompson’s decision to resign was not the result of any disagreement relating to the Company’s operations, policies or practices.
