Explanatory Note:

 

With the board’s approval, the Registrant closed four of its subsidiaries from October to November 2018 to adjust its organizational structure. It closed Khorgas Tantech Business Service Co., Ltd. and Khorgas Yabo Software Co., Ltd. on October 24, 2018. It closed Zhejiang Tantech Tourism Development Co., Ltd. on November 5, 2018. It closed Zhejiang Babiku Charcoal Co., Ltd. on November 12, 2018. In addition, the Registrant established Shenzhen Yimao New Energy Sales Co., Ltd., a sales subsidiary through Suzhou Yimao E-Motors Co., Ltd., on November 13, 2018.
