Explanation of Responses:
(1)  Includes a total of 46,531 shares deferred pursuant to the terms of a deferred stock grant under Issuer's Amended and Restated 2011 Long Term Incentive Plan (the "Deferred Shares Grant"). Under the terms of the Deferred Shares Grant, shares are distributable in stock at the end of the deferral period.
(2)  Transfer of shares by the reporting person's spouse to the spouse's 2018 Gifting Trust, the trustee of which is the reporting person, and the beneficiaries of which are the reporting person's spouse's descendants.
