Explanation of Responses:
(1)	The Issuer's control stockholder, Randolph S. Hudson (CIK 0001294447), transferred 250,000,000 shares of the Issuer's common stock to the Reporting Person to compensate the Reporting Person for his initial service to the Issuer as a member of its board of directors, pending the Reporting Person's eligibility under the Issuer's Omnibus Employee Compensation Plan.
