On November 19, 2018, L Brands, Inc. issued a press release setting forth its third quarter 2018 earnings. In addition, the press release contains guidance with respect to fourth quarter 2018 earnings and updated guidance with respect to full-year 2018 earnings. A copy of the press release is attached hereto as Exhibit 99.1 and is hereby incorporated by reference.

Item 8.01. Other Events.

On November 19, 2018, L Brands, Inc. announced that its Board of Directors plans to reduce the company's annual ordinary dividend to $1.20 per share from $2.40 per share currently, beginning with the quarterly dividend to be paid in March 2019.
