Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers;
Compensatory Arrangements of Certain Officers.

On November 15, 2018, the Board of Directors (the Board) of Teradata
Corporation (the Company or Teradata) expanded the size of the Board from eleven to twelve and elected Oliver Ratzesberger as a director, effective as of November 19, 2018 (the Effective Date).
Mr. Ratzesberger was elected to Class I, with a term expiring at the Annual Meeting of Stockholders in 2020, or until such time as his successor is duly elected and qualified or as is otherwise provided in Teradatas Amended and
Restated Certificate of Incorporation and Amended and Restated Bylaws.
Mr. Ratzesberger has served as the Companys Chief Operating Officer
since February 5, 2018. His compensation and benefits will not change in connection with his election as a director.
There are no arrangements or
understandings between Mr. Ratzesberger and any other person pursuant to which he was elected as a director. There are no transactions involving Mr. Ratzesberger that would be required to be reported under Item 404(a) of Regulation
S-K.
On November 19, 2018, Teradata issued a press release that announced the election of Mr. Ratzesberger, a
copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
