Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers: Compensatory Arrangements of Certain Officers.

On November 13, 2018, the Board of Directors accepted the resignation of Steven E. Gilbertson from his position on the Board of Directors, Chairman of the Audit Committee and any other committees to which he was assigned. Mr. Gilbertson had been a director since July 28, 2018.

No replacement to Mr. Gilbertson has been appointed or elected at this time. Mr. Leigh Freeman has been appointed to serve as Interim Chair of the Audit Committee until an additional independent director and Audit Committee member is appointed.

On November 14, 2018, the Company issued a press release entitled “Timberline Resources Announces Resignation of Director”. A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
