Item 8.01
Other Events.

At 11:59 p.m., New York City time, on October 11, 2018, the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), expired with respect to the previously announced merger (the “Merger”) between SUPERVALU INC. (“SUPERVALU”) and Jedi Merger Sub, Inc. (“Merger Sub”), a wholly owned subsidiary of United Natural Foods, Inc. (“UNFI”), pursuant to the Agreement and Plan of Merger (the “Merger Agreement”), dated as of July 25, 2018, by and among SUPERVALU, SUPERVALU Enterprises, Inc., UNFI and Merger Sub, as amended by the First Amendment to Agreement and Plan of Merger, dated as of October 10, 2018. Expiration of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Merger. Consummation of the Merger remains subject to other closing conditions in the Merger Agreement, including the approval of SUPERVALU’s stockholders.
