Item 1.01 Entry into a Material Definitive Agreement.
On September 20, 2018, Aerojet Rocketdyne Holdings, Inc. (the Company) entered into an amendment (the Amendment)
to its Fourth Amended and Restated Credit Agreement, dated as of June 17, 2016, among the Company, its material domestic subsidiaries from time to time party thereto as guarantors, Bank of America, N.A., a national banking association, as
administrative agent, and other lender parties thereto (the Lenders). The Amendment states that, among other things, the Lenders will provide loans and other financial accommodations to the Company of up to one billion dollars
($1,000,000,000) on a secured basis, including (i) a term loan facility in an aggregate principal amount of up to $350 million, and (ii) a revolving credit facility in an aggregate principal amount of up to $650 million. The
revolving credit facility was increased from an aggregate principal amount of up to $350 million. The Amendment also extends the maturity date from June 17, 2021 to September 20, 2023.
