(e)     Compensatory Arrangements of Certain Officers

On August 1, 2018, the Board of Directors (the "Board") of OrangeHook, Inc., a Florida corporation (the "Company"), increased the base salary of Brittany Thiele, the Company's Chief Accounting Officer and Director of Finance to $175,000 annually effective September 1, 2018. Ms. Thiele began serving as the Company's interim principal financial and principal accounting officer beginning May 31, 2018. Also on August 1, 2018, the Board approved that the Company enter into terms with Ms. Thiele providing for a lump-sum payment equal to six months' base salary if her employment were terminated without "cause" within six (6) months of a change in control and including such other standard terms and conditions executive management deems necessary or advisable to carry out and perform the purposes and intent of the Board's resolutions approving entry into the arrangements with Ms. Thiele.
