DIRECTOR SHAREHOLDINGS
Tesco PLC (the "Company") announces that it has been notified of
the following transactions undertaken by Directors of the
Company:
Exercise of Nil Cost Option
On 2 July 2018, Charles Wilson, CEO UK and ROI, received
1,500,647 Ordinary shares of 5 pence each in the Company upon the
exercise of a nil cost option granted under the rules of the Booker
Group plc Performance Share Plan 2008.
The nil cost option was granted on 3 July 2008 as a nil cost
option over 1.4 million Booker Group plc ordinary shares which Mr
Wilson released in consideration for a nil cost option over
1,500,647 Ordinary Shares of 5 pence each in Company granted on 6
March 2018, following the completion of the merger of the Company
and Booker Group plc.
The nil cost option was due to expire on 3 July 2018, the tenth
anniversary of the original grant date.
The number of shares received represent the gross number of
shares exercised. Mr Wilson has paid the Income Tax and National
Insurance Contributions due on exercise using his own funds and the
shares have been transferred to him.
The share price on exercise was 256.10 pence per share.
