5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements
of Certain Officers
As
previously reported in a Current Report on Form 8-K filed on February 16, 2018, Document Security Systems, Inc. (the “Company”)
entered into a four-month Consulting Agreement (the “Agreement”) with Pamela Avallone (the “Consultant”),
a director of the Company, for the provision of intellectual property guidance on the Company’s intellectual property matters.
The Consultant received $7,500 per month of cash compensation pursuant to the Agreement.
On
June 27, 2018, following the lapse of the term of the Agreement, the Company and the Consultant verbally agreed to a
month-to-month arrangement, terminable at-will by either party, whereby Company will continue to pay Consultant cash
compensation in the amount of $7,500 per month for the duration of the arrangement.
