Item 1.01 Entry Into a Material Definitive Agreement.

Memorandum of Understanding

As of June 25, 2018, the Company and the Class Representative have agreed to a Memorandum of Understanding regarding settlement of the class action litigation styled Carlos Garcia v. Fabrica International, Inc. et al Orange County Superior Court Case No. 30-2017-00949461-CU-OE-CXC. The parties agreed to file a motion for approval of the memorandum of understanding with the court in which the case is pending, and to finalize a definitive agreement subject to court approval. The parties intend to file the memorandum of understanding with the Court within the next three to four weeks. The Company expects to incur costs of approximately $1.5 million upon final resolution of the matter.

The Company expects to file the memorandum of understanding as an exhibit to its Quarterly Report on Form 10 Q for the quarter ended June 30, 2018.
