Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
On May 29, 2018, Eddie Picard and Key Energy Services, Inc. (the
Company) mutually agreed to terminate his employment as the Companys Vice President and Controller to pursue other opportunities effective July 2, 2018. Mr. Picards departure is not related to any disagreement with
the Companys accounting policies or practices. In connection with his separation Mr. Picard will receive a lump sum severance payment of $235,000 following his execution and
non-revocation
of a
standard release agreement in favor of the Company.
