Item 5.07. Submission of Matters to a Vote of Security Holders.
The following proposals were submitted to the stockholders of Synacor, Inc. (the Company) at the 2018 Annual Meeting of
Stockholders held on May 17, 2018:

The election of three directors to serve until the Companys 2021 Annual Meeting of Stockholders or until their successors are duly elected and qualified.

The ratification of Deloitte & Touche LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2018.

The approval, on a
non-binding,
advisory basis, of the compensation of the Companys named executive officers.

advisory basis, of the frequency with which future stockholder advisory votes on the compensation of the Companys named executive officers
