Tesco PLC (the "Company")

APPLICATION TO LIST SHARES

Application has been made for the listing of 12,000,000 Ordinary Shares of 5 pence each to the Official List of the UK Listing Authority and to trade on the London Stock Exchange's main market for listed securities.

These shares are being issued and allotted pursuant to the Company's Group Bonus Plan.

Application has also been made for the admission of these shares to the Official List and to trade on the Main Securities Market of the Irish Stock Exchange.

The shares will rank equally with the existing issued Ordinary Shares of the Company.

Admission is expected to be effective on 11 May 2018.

Consistent with the Company's intention to offset any future dilution from share incentive plans, the Company intends to make market purchases of shares equivalent to the number of shares allotted under this listing in the current financial year.
