Explanation of Responses:
(1)	Mr. Catania exchanged his 16.5% membership interests for 2,625,000 of the Company's common shares when we converted from a limited liability company to a corporation.

Remarks:
(2) The Company issued an additional 350,000 and 428,751 common shares to Neil Catania for services rendered.

(3) The Company issued 2,000,000 Common Shares to Neil Catania for services rendered.

(4) Neil Catania converted principal and accrued interest due to him in the amount of $841,750 pursuant to convertible notes and a line of credit into the Company's common shares at the price of $0.25 per share or an aggregate of 3,367,000 shares.
