The Company has experienced a delay in completing the information necessary for inclusion in its Form 10-K for the fiscal year ended December 31, 2017. The Company expects to file its Form 10-K Annual Report within the allotted extension period.

Vitaxel Group Limited expects a significant decrease in its results of operations for fiscal year ended December 31, 2017 from the fiscal year ended December 31, 2106 as reflected by the earnings statements to be included in the Annual Report on Form 10-K for the year ended December 31, 2017. The loss from operations in the year ended December 31, 2016 was $1,027,151. It is anticipated that the loss from operations for the year ended December 31, 2017 will be approximately $4,187,297, an increase in such loss of approximately 308%. The increase in the loss from operations resulted from a decrease in revenue generated during the twelve months ended December 31, 2017 and the impact from the recognition of stock issuances which were awarded to officers and directors, as well as others, as compensation for services provided.
