State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

The registrant is unable to file the subject Form 10-K report in a timely manner due to the fact that the Company wants to file its annual report under the new corporate name, Argentum 47, Inc. Seeing as the Secretary of State of Nevada authorized the name change on March 29, 2018, there was not enough time to Edgarize and XBRL the Form 10-K and file the Form 10-K on time. The Company will file its Form 10-K report the week of April 2, 2018.
