EXPLANATORY NOTE

On March 22, 2018, Medigus Ltd., or the Company, announced its financial results for the fourth quarter and fiscal year ended December 31, 2017, and the availability of its annual report on Form 20-F for the year ended December 31, 2017. In connection with the announcement, on March 22, 2018, the Company issued a press release titled: “ Medigus Ltd Announces Fourth Quarter and Fiscal Year 2017 Financial Results.” A copy of this press release is furnished herewith as exhibit 99.1.
