Explanation of Responses:
(1)  Withholding of restricted stock to satisfy reporting person's tax obligation upon the restriction lapse of a restricted stock award.
(2)  Corrects the aggregate amount of securities beneficially owned by the reporting person following the reported transaction. On a Form 4 filed on October 4, 2017, shares related to a withholding were inadvertently included in the amount of securities beneficially owned by the reporting person. These 926 shares should have been excluded, as they were reported as disposed on the reporting person's Form 4 filed on August 31, 2017.
