Explanation of Responses:
(1)	As reported on February 27, 2017, the reporting person received an equity award from the issuer on February 23, 2017 of 5,594 shares. After deducting 267 shares attributable to the tax liability associated with the award, the reporting person received 5,327 shares.
(2)	Shares acquired by the reporting person since last filing under Chesapeake Utilities Corporation's Automatic Dividend Reinvestment and Direct Stock Purchas Plan.
(3)	Shares acquired for the reporting person since last filing through reinvestment of dividends under Chesapeake Utilities Corporation's Automatic Dividend Reinvestment and Direct Stock Purchase Plan.
(4)	Of these shares, 14,595 represent deferred stock units that will be settled on a one-for-one basis in common stock.
(5)	Includes 80 shares of common stock that the reporting person acquired under the 401k Plan via an employer supplemental contribution that was funded in shares of Chesapeake Utilities Corporation common stock in July of 2017. Dividends payable on 401k Plan shares were reinvested to purchase 148 additional shares of Chesapeake Utilities Corporation common stock since last filing.
