ITEM 5.02 Departure of Directors or certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 6, 2018 the Board of Directors of ROI increased the number of its members from 2 to 3 by appointing Yuhi Horiguchi to fill the vacancy created by the resignation of Sebastien Cliche on December 29, 2017. Mr. Horiguchi is currently serving the Company as Chief Financial Officer. Effective March 1, 2018, Mr. Horiguchi shall be compensated US$8,000 per month for his role as Chief Financial Officer.
