Item
5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On
January 18, 2018, the Board of Directors of Cocrystal Pharma, Inc. (the “Company”) filed an amendment (the “Amendment”)
with the Delaware Secretary of State to effect a one-for-30 reverse split of the Company’s class of Common Stock. The Amendment
took effect on January 24, 2018. No fractional shares will be issued or distributed as a result of the Amendment. In lieu of issuing
additional shares, all shareholders who would be entitled to receive one or more fractional shares as a result of the reverse
stock split will receive cash payment for their fractional shares. There was no change in the par value of our common stock.
The
foregoing description is qualified in its entirety by the Amendment which is attached hereto as Exhibit 3.1 and incorporated herein
by reference.
