Energy Corp. (the “Company”) has entered into a common stock sales agreement (the “Sales Agreement”) with
Northland Securities, Inc. (“Northland”), as our sales agent, relating to shares of our common stock, par value $0.01
per share (the “Common Stock”), offered by this prospectus supplement and the accompanying prospectus. In accordance
with the terms of the Sales Agreement, we may offer and sell up to an aggregate of $2,500,000 of our Common Stock from
time to time through or to Northland.
Our
Common Stock is listed on The NASDAQ Capital Market under the symbol “USEG.” On January 4, 2018, the last reported
sales price per share of our Common Stock on The NASDAQ Capital Market was $1.62.
The
aggregate market value of our outstanding Common Stock held by non-affiliates as of the date of this prospectus is $9,753,102,
based on 5,983,498 shares of outstanding Common Stock held by non-affiliates as of January 5, 2018, and a per share price
of $1.63, based on the closing sale price of our Common Stock on January 2, 2018 (a date within 60 days of the date hereof).
Pursuant to General Instruction I.B.6 of Form S-3, in no event will we sell securities registered on the registration statement
of which this prospectus is a part in a public primary offering with a value exceeding more than one-third of our public float
in any 12-month period if our public float, measured in accordance with such instruction, remains below $75.0 million. As of the

compensation to Northland for sales of Common Stock sold pursuant to the Sales Agreement will be an amount equal to 3.0% of the
gross proceeds of any shares of Common Stock sold under the Sales Agreement. Under the terms of the Sales Agreement, we may also
sell our Common Stock to Northland as principal at prices agreed upon at the time of sale. In connection with the sale of the
Common Stock on our behalf, Northland may be deemed to be an “underwriter” within the meaning of the Securities Act,
and the compensation of Northland may be deemed to be underwriting commissions or discounts. We have also agreed to provide indemnification
and contribution to Northland with respect to certain liabilities, including liabilities under the Securities Act or the Securities
Exchange Act of 1934, as amended (the “Exchange Act”)

Energy Corp. is a Wyoming corporation organized in 1966. We are an independent energy company focused on the acquisition and development
of oil and gas producing properties in the continental United States. Our business activities are currently focused in South Texas
and the Williston Basin in North Dakota. However, we do not intend to limit our focus to these geographic areas. We continue to
focus on increasing production, reserves, revenues and cash flow from operations while managing our level of debt.

Related to Our Common Stock and This Offering
We
have issued shares of Series A Preferred Stock with rights superior to those of our Common Stock.
Our
articles of incorporation authorize the issuance of up to 100,000 shares of preferred stock, $0.01 par value. Shares of preferred
stock may be issued with such dividend, liquidation, voting and conversion features as may be determined by the Board of Directors
without shareholder approval. Pursuant to this authority, in February 2016 we approved the designation of 50,000 shares of Series
A Convertible Preferred Stock (“Series A Preferred”) in connection with the disposition of our mining segment.
The
Series A Preferred accrues dividends at a rate of 12.25% per annum of the Adjusted Liquidation Preference; such dividends are
not payable in cash but are accrued and compounded quarterly in arrears. The “Adjusted Liquidation Preference” is
initially $40 per share of Series A Preferred for an aggregate of $2.0 million, with increases each quarter by the accrued quarterly
dividend (an aggregate of $2.45 million as of September 30, 2017). The Series A Preferred is senior to other classes or
series of shares of the Company with respect to dividend rights and rights upon liquidation. No dividend or distribution will
be declared or paid on our Common Stock, (i) unless approved by the holders of Series A Preferred and (ii) unless and until a
like dividend has been declared and paid on the Series A Preferred on an as-converted basis.
At
the option of the holder, each share of Series A Preferred may initially be converted into 13.33 shares of our Common Stock (the
“Conversion Rate”) for an aggregate of 666,667 shares. The Conversion Rate is subject to anti-dilution adjustments
for stock splits, stock dividends and certain reorganization events and to price-based anti-dilution protections. Each share of
Series A Preferred will be convertible into a number of shares of Common Stock equal to the ratio of the initial conversion value
to the conversion value as adjusted for accumulated dividends multiplied by the Conversion Rate. In no event will the aggregate
number of shares of Common Stock issued upon conversion be greater than 793,349 shares. The Series A Preferred will generally
not vote with our Common Stock on an as-converted basis on matters put before our shareholders. The holders of the Series A Preferred
have the right to require us to repurchase the Series A Preferred in connection with a change of control. The dividend, liquidation
and other rights provided to holders of the Series A Preferred will make it more difficult for holders of Common Stock to realize
value from their investment.

do not intend to declare dividends on our Common Stock.

do not intend to declare dividends on our Common Stock in the foreseeable future. Under the terms of our Series A Preferred Stock,
we are prohibited from paying dividends on our Common Stock without the approval of the holders of the Series A Preferred Stock.

and after deducting commissions and estimated offering expenses payable by us, you would experience immediate dilution of $0.95
per share, representing the difference between our adjusted net tangible book value per share as of September 30, 2017 after
giving effect to this offering and the assumed offering price. If we sell shares of our Common Stock in this offering at a price
per share greater than our net tangible book value, it will result in dilution of your investment. See the section entitled “Dilution”
below for a more detailed illustration of the dilution you may incur if you participate in this offering. Because the sales of

owner of our Credit Facility has substantial voting power on matters submitted to a vote of shareholders.
On
December 29, 2017, we issued 5,819,270 shares of our Common Stock to APEG as part of a reduction of the balance of our Credit
Facility. The shares of our Common Stock beneficially owned by APEG represent approximately 49.3% of the voting power of our Common
Stock. While we entered into a Standstill Agreement with APEG, which requires APEG to vote its shares in proportion with the non-APEG
shareholders on all matters and restricts APEG’s ability to acquire additional shares of our Common Stock, seek representation
on our board of directors or otherwise control our management, board of directors or policies, this Standstill Agreement is only
in effect for one year from the date of issuance.
Because
APEG owns a significant percentage of our voting power, it may have considerable influence in determining the outcome of any corporate
transaction or other matter submitted to our shareholders for approval, including the election of directors and approval of mergers,
consolidations and the sale of all or substantially all of our assets. In addition, the ownership by APEG of a substantial percentage
of our total voting power could make it more difficult and expensive for a third party to pursue a change of control of our Company,
even if a change of control would generally be beneficial to our shareholders.

OF PROCEEDS
The
amount of proceeds from this offering will depend upon the number of shares of our Common Stock sold and the market price at which
they are sold. There can be no assurance that we will be able to sell any shares under or fully utilize the Sales Agreement as
a source of financing. We intend to use the net proceeds, if any, from this offering for working capital and general corporate
purposes, which may include the Company’s share of capital expenditures on new wells drilled on the Company’s existing
acreage. As of the date of this prospectus supplement, we cannot specify with certainty all of the particular uses for the
net proceeds we will have upon completion of this offering. Accordingly, our management will have broad discretion in the application

Settlement
for sales of Common Stock will occur on the second business day following the date on which any sales are made, or on some other
date that is agreed upon by us and Northland in connection with a particular transaction, in return for payment of the net proceeds

We

Satisfaction
and Discharge; Defeasance
We
may be discharged from our obligations on the debt securities of any class or series that have matured or will mature or be redeemed

Events
of Default, Notice and Waiver
Unless
otherwise specified in the applicable prospectus supplement, any of the following events will be events of default with respect
to the debt securities:

failure to pay the principal or any premium on any debt securities of the class or series when due;
●
failure to make any sinking fund payment for 30 days when due;

debt securities of that series may declare all the debt securities to be due and payable immediately.
The
holders of a majority in aggregate principal amount of the debt securities then outstanding by notice to the trustee may on behalf
of the holders of all of the debt securities of that series waive any existing default or event of default and its consequences
under the indenture except a continuing default or event of default in the payment of interest on, or the principal of, the debt
securities of that series.
The
indenture will require the trustee to, within 90 days after the occurrence of a default known to it with respect to any outstanding
series of debt securities, give the holders of that class or series notice of the default if uncured or not waived. However, the
trustee may withhold this notice if it determines in good faith that the withholding of this notice is in the interest of those
holders, except that the trustee may not withhold this notice in the case of a payment default. The term “default”
for the purpose of this provision means any event that is, or after notice or lapse of time or both would become, an event of
default with respect to debt securities of that series.
Subject
to the provisions of the Trust Indenture Act, or the TIA, requiring the trustee during the continuance under an event of default
under the indenture to act with the requisite standard of care, a trustee is not obligated to exercise any of its rights or powers
under the applicable indenture at the request or direction of any of the holders of debt securities, unless the holders have offered
to the trustee reasonable security and indemnity. The indenture will provide that the holders of a majority in principal amount
of outstanding debt securities of any series may direct the time, method and place of conducting any proceeding for any remedy
available to the trustee, or exercising any trust or other power conferred on the trustee if the direction would not conflict
with any rule of law or with the indenture. However, the trustee may take any other action that it deems proper which is not inconsistent
with any direction and may decline to follow any direction if it in good faith determines that the directed action would involve
it in personal liability.
The
indenture will include a covenant that we will file annually with the trustee a certificate of no default, or specifying any default
that exists.
Modification
of the Indenture
We
and the trustee may modify the indenture without the consent of the holders for limited purposes, including adding to our covenants
or events of default, establishing forms or terms of debt securities, curing ambiguities and other purposes which do not adversely
affect the holders in any material respect.

and the trustee may make modifications and amendments to the indenture with the consent of the holders of a majority in principal

or use under the circumstances in the conduct of such person’s own affairs.
The
indenture and provisions of the TIA that are incorporated by reference therein contain limitations on the rights of the trustee,
should it become one of our creditors, to obtain payment of claims in certain cases or to realize on certain property received
by it in respect of any such claim as security or otherwise. The trustee is permitted to engage in other transactions with us
or any of our affiliates; provided, however, that if it acquires any conflicting interest (as defined in the indenture or in the
TIA), it must eliminate such conflict or resign.

Personal Liability of Directors, Officers, Employees or Stockholders
