Item 2.01. Completion of Acquisition or Disposition of Assets

On December 29, 2017, Bill Barrett Corporation (the “Company”) closed on the previously announced sale of the Company's remaining non-core assets located in the Uinta Basin in Utah to Lonesome Oil & Gas, LLC and Big West Exploration and Production LLC, for cash proceeds of approximately $100 million, subject to post-closing adjustment.

Item 2.02. Results of Operations and Financial Condition

The Unaudited Pro Forma Condensed Consolidated Financial Information of the Company as of September 30, 2017, for the nine months ended September 30, 2017, and for the year ended December 31, 2016 for the Uinta Basin sale were previously filed as Exhibit 99.1 to Current Report on Form 8-K on December 5, 2017.

In accordance with General Instruction B.2 of Form 8-K, the information in this Item shall not be deemed "filed" for the purpose of Section 18 of the Securities Exchange Act of 1934, nor shall it be deemed incorporated by reference in any filing.

Item 7.01. Regulation FD Disclosure

On December 29, 2017, the Company issued a press release announcing that it closed on the sale of non-core assets located in the Uinta Basin. The press release is attached as Exhibit 99.1 to this Current Report.
