Item 2.02   Results of Operations and Financial Condition

On December 21, 2017, Capstone Companies, Inc., a Florida corporation,  (the "Company") announced in a press release that the Company had paid off loans of approximately $1.3 million in aggregate principal and accrued interest.  These loans were made by a non-officer director and a senior officer and director of the Company.  The funds to pay off these loans came from a dividend distribution to the Company from one of its wholly-owned subsidiaries.  The Company also announced that it owes no debt as of December 21, 2017, under its standing bank credit line, which credit line is used to finance product and inventory purchases. The Company also announced that it expects record revenues for fiscal year 2017.  A copy of the press release is attached as Exhibit 99.1 of this Current Report on Form 8-K.
