Item 2.02 Results of Operations and Financial Condition.

On December 14, 2017, Virco Mfg. Corporation (“Virco”) issued a press release reporting its financial results for the third quarter ended October 31, 2017. A copy of the press release is attached hereto as Exhibit 99.1. Item 7.01 Regulation FD Disclosure

On December 14, 2017, Virco Mfg. Corporation (“Virco”) issued a press release announcing that its Board of Directors has declared a cash dividend of $0.015 per share of Common Stock, which will be payable on January 10, 2018 to stockholders of record on December 28, 2017.
