Item 8.01. Other Events
Underwriting Agreement
On December 11, 2017, NCI Building Systems,
Inc. (the “Company”), investment funds associated with Clayton, Dubilier & Rice, LLC (collectively, the “Selling
Stockholders”) and Goldman Sachs & Co. LLC and RBC Capital Markets, LLC (together, the “Underwriters”), entered
into an underwriting agreement (the “Underwriting Agreement”) pursuant to which the Selling Stockholders agreed to
sell, and the Underwriters agreed to purchase, subject to and upon the terms and conditions set forth therein, 7,150,000 shares
of the Company’s common stock (the “Shares”). Pursuant to the Underwriting Agreement, at the Selling Stockholders’
request and subject to the sale of the Shares by the Selling Stockholders to the Underwriters in compliance with the terms of the
Underwriting Agreement, the Underwriters agreed to sell to the Company, and the Company agreed to purchase from the Underwriters,
1,150,000 of the Shares at a price per share equal to price at which the Underwriters purchased the Shares from the Selling
Stockholders.
