directors nominated at its 2017 annual meeting of stockholders
today. The board members re-elected were William H. Bolinder, G. Kent Conrad, Melina E.
Higgins, Thomas J. McInerney,
David M. Moffett, Thomas E. Moloney, James
A. Parke, Debra J. Perry,
Robert P. Restrepo Jr. and
James S. Riepe.
At the annual meeting, stockholders also approved the advisory
vote on named executive compensation and approved holding future
advisory votes on named executive officer compensation every year.
In addition, stockholders re-approved the material terms of
performance goals for qualified performance-based awards under the
2012 Genworth Financial, Inc. Omnibus Incentive Plan and ratified
the selection of KPMG LLP as Genworth's independent registered
public accounting firm for 2017.
