Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 8, 2017, David O. Ulrich, a member of the Board of Directors of Herman Miller, Inc. (the “Company”), advised the Board that he was resigning from the Board effective December 8, 2017. His decision to resign was not due to any disagreements with the Company. The Company is grateful for Dave’s service over the past 17 years. With over 30 published books and a member of the Thinkers50 Hall of Fame, we wish Dave continued success in his future endeavors.
