On December 8, 2017, Evolent Health, Inc. issued a press release announcing the termination of the previously announced Stock Purchase Agreement, dated October 31, 2017, among Evolent Health, Inc., Premier Health Partners and certain other parties thereto. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
