Explanatory
Note
On
November 30, 2017, DTS8 Coffee Company, Ltd. (“DTS8”) filed a current report on Form 8-K dated November 29, 2017 that
included an incorrect Exhibit 99.1 as well as a number of typos and grammatical errors. This amended report is being filed for
the sole purpose of addressing those issues.
Item
7.01 Regulation FD Disclosure
On
November 30, 2017, DTS8 issued a press release announcing that the British Columbia Securities Commission had partially revoked
the cease trade order issued against DTS8 on August 11, 2016 for failing to file certain outstanding continuous disclosure documents
in a timely manner. A copy of the press release is attached as Exhibit 99.1 hereto.
