(1)  The price reported is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $40.72 to $40.77, inclusive. The reporting person undertakes to provide to Aramark, any security holder of Aramark, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range set forth in this footnote.
(2)  A portion of the deferred stock units that are included in this amount are held by the reporting person for the benefit of The Goldman Sachs Group, Inc. ("GS Group") pursuant to an understanding between the reporting person and GS Group. The reporting person was previously a managing director of Goldman, Sachs & Co., a subsidiary of GS Group. The reporting person disclaims beneficial ownership over such deferred stock units, except to the extent of his pecuniary interest therein, if any.
