Explanation of Responses:
(1)	The Reporting Person previously received two grants of restricted common stock: (i) on February 13, 2017, 26,677 shares of restricted common stock, with 13,339 shares subject to time-based vesting (in three year annual increments), and 13,338 shares subject to performance-based vesting based on the Issuer achieving specified financial performance targets, and (ii) on June 21, 2017, 25,660 shares of restricted common stock, 12,830 shares subject to time-based vesting (in three year annual increments), and 12,830 shares subject to performance-based vesting based on the Issuer achieving specified financial performance targets. The performance-based shares will vest in three year annual increments subject to achievement of the performance targets. Vesting of the shares of restricted common stock are conditioned upon continued employment with the Issuer, and are subject to acceleration upon certain events.
(2)	The restricted common stock was awarded in exempt transactions pursuant to Rule 16b-3(d) of the Securities Exchange Act of 1934, as amended.
