The 245,593,555 shares of common stock of Santander Consumer USA Holdings Inc. (the "Issuer") are owned directly by Santander Holdings USA, Inc. ("SHUSA"), a wholly-owned subsidiary of Banco Santander, S.A. (the "Reporting Person"), and are comprised of 210,995,049 shares of common stock previously owned directly by SHUSA and 34,598,506 shares of common stock of the Issuer purchased by the Reporting Person on November 15, 2017 from DDFS LLC ("DDFS") for an aggregate of $941,945,420, which shares were subsequently contributed to SHUSA as a capital contribution on November 15, 2017.
