EXPLANATORY NOTE

Spectrum Brands Holdings, Inc and SB/RH Holdings LLC,   are filing this Amendment No. 1 (the “Form 10-K/A”) to our Annual Report on Form 10-K for the fiscal year ended September 30, 201 7 that we filed with the Securities and Exchange Commission (“SEC”) on November  1 6 , 201 7 (the “Form 10-K”), for the sole purpose of filing the Interactive Data File as Exhibit 101. The attached Exhibit 101 were inadvertently not included with our Form 10-K filing .

No other changes have been made to the Form 10-K. This Amendment speaks as of the Original Filing Date and does not reflect events that may have occurred subsequent to the Original Filing Date, and does not modify or update in any way the disclosures made in the Form 10-K.
