The Registrant could not complete the filing of its Quarterly Report on Form 10-Q for the period ended September 30, 2017 (the “ Report ”) due to management’s inability to complete adjustments necessary to close its books for the fiscal quarter end. The Company fully expects to be able to file within the additional time allowed by this report.
