Item 7.01 Regulation FD Disclosure

On November 8, 2017, PDL BioPharma, Inc. (the "Company") issued a press release relating to its proposal to acquire Neos Therapeutics, Inc. (NASDAQ: NEOS) for $10.25 per share in cash. The proposal will expire today at market close. A copy of the Company's press release has been posted to the Company's website and is attached hereto as Exhibit 99.1.
