Explanation of Responses:
(1)	This Form 3 is being filed by the reporting person in his capacity as a director of the Issuer and in his capacity as an indirect holder of 1,492,285 shares of common stock of the Issuer. The Reporting Person is the sole member of CCW/LAW Holdings, LLC, which is a member of 210 Capital, LLC ("210 Capital"). 210 Capital is the sole member of 210/CRDS Investment LLC, which is a direct holder of 1,492,285 shares of common stock of the Issuer. The Reporting Person disclaims beneficial ownership of these shares of the Issuer's common stock except to the extent of his pecuniary interest therein, and the filing of this Form 3 shall not be construed as an admission that such person is a beneficial owner of these shares of the Issuer's common stock for purposes of Section 16 or for any other purpose.
(2)	The Reporting Person may be deemed to be a member of a Section 13(d) group that collectively beneficially owns more than 10% of the Issuer's outstanding shares of common stock. A statement on Schedule 13D was initially jointly filed on October 24, 2017 by the Reporting Person and other persons with respect to the shares of the Issuer's common stock reported on this Form 3.
