Item 8.01 Other Events.
On October 12, 2017, the Company announced the sale of an additional $6.0 million in aggregate principal amount of its 5.50% convertible senior notes due 2022 (the “Additional Notes”) in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), pursuant to the initial purchaser’s exercise of its option to purchase such Additional Notes. The sale of the Additional Notes closed on October 11, 2017 and the Additional Notes were sold on the same terms in all respects as the 5.50% convertible senior notes due 2022 previously issued on September 25, 2017.
