Item 8.01 Other Events

On September 20, 2017 the Company executed a Letter of Intent with Premier Empire Energy, LLC (“PEEL”) indicating the Company’s intent to acquire PEEL in an all-stock transaction for $2.5 Million Dollars. The parties expect to reach a definite agreement by October 30, 2017.
