Other Events

On September 12, 2017, Signet Jewelers Limited (“ Signet ”) announced that its subsidiary, Sterling Jewelers Inc. had completed its previously announced acquisition of R2Net Inc. The purchase price is $328 million cash, subject to customary post-closing adjustments provided in the merger agreement.

Signet issued a press release relating to the closing. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
