Explanation of Responses:

(1)

The Holder shall have the right to convert all or a portion of the Note, along with accrued and unpaid interest, into shares of the common stock of the Parent at a per share price equal to the lesser of (i) 15% below the average daily closing bid price of the Parent's common stock for the immediate predeing twenty (20) business days; or, (ii) $0.11. The Holder shall submit a Conversion Notice indicating his/her election to convert and the amount being converted. The Note has a Maturity Date of 12 months.
