On June 29, 2017 , Acuity Brands, Inc. (the “Company”) issued a press release containing information about the Company's results of operations for its fiscal quarter ended May 31, 2017 . A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K, which is incorporated herein by reference. Item 7.01. Regulation FD Disclosure.

On June 29, 2017 the Company announced that the Board of Directors authorized the repurchase of an additional two million shares, or approximately 5%, of the Company's outstanding common stock. A copy of the related release is attached as Exhibit 99.1 to this Current Report on Form 8-K, which is incorporated herein by reference.

Additionally, on June 27, 2017 , the Board of Directors declared a quarterly dividend of $0.13 per share. A copy of the related press release is attached as exhibit 99.2 to this Current Report on Form 8-K, which is incorporated herein by reference.
