Explanatory Note

                This Amendment No. 1 on Form 8-K/A (this “Form 8-K/A”) is an amendment to the Current Report on Form 8-K of Nation Energy Inc. dated June 6, 2017 (the “Original 8-K”).  This Form 8-K/A is being filed to correct a typographical error in the date listed for “Date of Report” in the Original 8-K, which is corrected by this filing to be “May 31, 2017.”  No other changes were made to the Original 8-K.  This Form 8-K/A also restates in its entirety Item 5.02 from the Original 8-K, but no changes have been made to Item 5.02.
