Explanatory Note

This Amendment No. 1 to Form 8-K filed May 15, 2017 is to replace Exhibit 99.1 with the financial results for the first quarter ended March 31, 2017 (December 2016 results were filed erroneously).

On May 15, 2017, 3PEA International Inc. issued a press release regarding its financial results for the quarter ended March 31, 2017. A copy of the press release is filed herewith as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
