Item 5.02.

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 26, 2020, H. Robert Holmes, the chairman of the board of directors of MGT Capital Investments, Inc. (the “Company”), resigned from his position as director on the board of directors of the Company. Mr. Holmes’ resignation was not a result of any disagreements with the Company on any matter relating to the Company’s operations, policies or practices.
