Item
1.01 Entry into a Material Definitive Agreement.
On
June 23, 2020, Coro Global Inc. (the “Company”) entered into a
securities purchase agreement with an accredited investor pursuant
to which the Company issued and sold to the investor 50,000 shares
of common stock for an aggregate purchase price of
$250,000.
In
connection with the foregoing, the Company relied upon the
exemption from registration provided by Section 4(a)(2) under the
Securities Act of 1933, as amended, for transactions not involving
a public offering.

3.02 Unregistered Sales of Equity Securities.
The
information under Item 1.01 and 5.02 is incorporated by reference
into this Item 3.02.
On
June 18, 2020, the Company issued 16,000 shares of common stock to
a consultant for services.
On
June 22, 2020, the Company issued, to a consultant for services,
six-month warrants to purchase 30,000 shares of common stock with
an exercise price of $0.01.
On
June 22, 2020, the Company issued to consultants for services,
20,000 shares of common stock.
Since
June 16, 2020, the Company has issued and sold to accredited
investors an aggregate of 80,000 shares of common stock at a
purchase price of $5.00 per share (including the sale of 50,000
shares reported in Item 1.01 above), for aggregate gross proceeds
of $400,000.
In
connection with the foregoing, the Company relied upon the
exemption from registration provided by Section 4(a)(2) under the
Securities Act of 1933, as amended, for transactions not involving
a public offering.

5.02 Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.
On
June 22, 2020, the Company issued to Niquana Noel, the Company’s
chief operating officer, for services provided, six-month warrants
to purchase 50,000 shares of common stock, with an exercise price
of $0.01.
In
connection with the foregoing, the Company relied upon the
exemption from registration provided by Section 4(a)(2) under the
Securities Act of 1933, as amended, for transactions not involving
a public offering.
